Trade Terms & Conditions

Effective Date: February 2026

1. Pricing & Validity

All prices, quotations, and commercial indications provided by Tropixa Ceylon (Private) Limited (“the Company”) are for informational and negotiation purposes only unless expressly confirmed in writing by an authorized representative of the Company.

Final pricing is subject to confirmation based on factors including but not limited to product specifications, order quantity, packaging requirements, labeling regulations of the destination country, shipment terms, logistics costs, and prevailing market conditions.

Unless otherwise stated in writing, all quotations are valid for a limited commercial validity period determined at the time of issuance and may be revised without prior notice.

2. Payment Terms

Standard Payment Terms: International transactions are generally conducted through either Advance Telegraphic Transfer (T/T) or an Irrevocable Letter of Credit (LC) issued by a recognized international banking institution.

For newly established buyer relationships, the Company reserves the right to require either full advance payment or an LC at sight prior to the commencement of production or shipment processing.

Banking Charges: All banking charges, intermediary bank fees, currency conversion costs, and financial transaction charges incurred outside the Democratic Socialist Republic of Sri Lanka shall be borne solely by the buyer.

Product Samples: Product samples may be provided upon request subject to availability. For new buyers, sample costs and international courier charges shall apply. Such costs may be credited or adjusted against confirmed commercial bulk orders at the discretion of the Company.

3. Incoterms® 2020

Unless otherwise agreed in writing, all international trade transactions conducted by the Company shall be interpreted and governed in accordance with the rules of Incoterms® 2020 as published by the International Chamber of Commerce (ICC).

  • EXW (Ex Works): The buyer assumes full responsibility for transportation, export procedures, freight arrangements, and insurance from the Company’s designated facility in Sri Lanka.
  • FOB (Free On Board): The Company arranges export clearance and delivery of goods onto the designated vessel at the agreed Sri Lankan port of shipment. Risk transfers to the buyer once goods are loaded on board.
  • CIF (Cost, Insurance & Freight): The Company arranges ocean freight and cargo insurance coverage to the designated port of destination. Risk transfers to the buyer upon loading of goods at the port of shipment.
  • CFR (Cost & Freight): Similar to CIF, except that insurance coverage remains the responsibility of the buyer.

4. Orders & Production

Orders shall be considered valid and binding only after written confirmation by the Company and fulfillment of the agreed payment terms.

Production activities commence strictly after receipt of confirmed payment arrangements, including verified advance payment or receipt of an acceptable Letter of Credit.

Production timelines, shipment schedules, and delivery estimates are provided on a best-effort basis and may be subject to adjustment due to raw material availability, agricultural supply conditions, regulatory requirements, logistics constraints, or other operational factors beyond the reasonable control of the Company.

Inspections: The Company welcomes independent third-party inspections, including internationally recognized inspection agencies such as SGS or equivalent, subject to prior scheduling and mutual agreement.

5. Confidentiality

Any non-public, commercial, technical, or financial information disclosed by either party during discussions, negotiations, or commercial engagements shall be treated as confidential information.

Such information may include product formulations, pricing structures, commercial strategies, sourcing arrangements, product specifications, documentation, or business plans.

Confidential information shall not be disclosed, reproduced, or communicated to any third party without prior written authorization from the disclosing party, except where disclosure is required by applicable law or regulatory authority.

6. Quality & Certifications

The Company is committed to maintaining internationally recognized standards of product quality, safety, and traceability across its supply chain.

Products are manufactured and handled in compliance with applicable food safety regulations, industry standards, and export control requirements. Documentation relating to certifications such as ISO standards, HACCP compliance, Organic certifications, or other applicable quality assurance systems may be provided to verified commercial buyers upon request.

Certification availability may vary depending on product category, production facility, and destination market regulatory requirements.
